Nvidia completes $5 billion Intel share purchase deal

Nvidia, a United States technology company best known for its graphics and artificial intelligence chips, completed a $5 billion purchase of shares in Intel, the United States semiconductor manufacturer, Intel said in a regulatory filing.

Intel said it issued and sold 214,776,632 shares of its common stock to Nvidia for $5.0 billion in cash, at a price of $23.28 per share. The transaction closed on December 26, 2025, and was disclosed in a Form 8-K filed with the United States Securities and Exchange Commission (SEC). 

Intel said the share sale was conducted under a securities purchase agreement dated September 15, 2025, between Intel and Nvidia. The filing said the issuance was completed through a private placement, relying on an exemption under the Securities Act of 1933 for transactions not involving a public offering.

The filing also noted that Intel had previously disclosed the agreement in an earlier current report filed with the SEC in September 2025.
